Business Plus Promo: Terms & Conditions

1. Eligibility. This promotion is available by invitation only to eligible Upwork clients currently enrolled in the Basic plan. Eligibility is determined solely by Upwork. This promotion is not available to clients who self-enroll or who are not in receipt of a direct invitation from Upwork.
2. Promotional Fee. Upon enrollment, the standard Business Plus fee will be replaced by a promotional Business Plus fee equal to the client's applicable Marketplace fee rate at the time of enrollment (the "Promotional Fee"), for a period of six (6) months from the date of enrollment (the "Promotional Period"). The Promotional Fee is determined by the client's payment method and Marketplace fee structure at enrollment:
- Clients on a flat Marketplace fee structure: 7.99% per transaction regardless of payment method
- Clients on a tiered Marketplace fee structure: 3% per transaction via ACH, or 5% per transaction via all other payment methods
The Promotional Fee is locked at the rate applicable to the client at enrollment and will not change during the Promotional Period, regardless of any subsequent changes to the client's payment method or Marketplace fee rate. The Promotional Fee takes effect immediately upon enrollment.
3. Post-Promotional Fee Upon expiration of the Promotional Period, the then-applicable standard Business Plus fee (currently up to 10% per transaction) will apply automatically to all subsequent transactions. The client will remain enrolled in the Business Plus plan at the standard rate unless they elect to downgrade to the Basic plan in accordance with Section 5 below. Upwork will provide advance notice of the post-promotional rate taking effect in accordance with the notice schedule in Section 6.
4. Variable Fee Nature The Business Plus fee is calculated as a percentage of each transaction amount. Total monthly charges will vary based on the client's transaction volume. No fixed monthly fee is guaranteed.
5. Downgrade Rights and Re-Enrollment Eligibility The client may downgrade from Business Plus to the Basic plan at any time during or after the Promotional Period at no penalty. The plan change and fee change take effect at the end of the client's current monthly Business Plus membership cycle. Prior to confirming a downgrade, the client will be shown their specific then-current Marketplace fee rate that will apply upon return to Basic as well as the effective date of the plan change. Upon downgrade taking effect, that Marketplace fee rate applies to all subsequent transactions. No retroactive adjustment will be made for transactions processed prior to the downgrade effective date.
Re-Enrollment: Clients who downgrade to Basic during the active Promotional Period are permanently ineligible to re-enroll in this promotion or any substantially similar promotional offer. Clients who remain on Business Plus through the end of the Promotional Period and subsequently downgrade after Day 181 are not subject to this restriction and may be considered for future promotional offers at Upwork's discretion.
6. Notice Schedule Upwork will deliver the following notices to enrolled clients: Enrollment Confirmation, 30-Day Pre-Conversion Notice, and Post-Promo Conversion Confirmation.
Notices will be delivered via email and, where applicable, in-product banner. The 30-day pre-conversion notice satisfies applicable state auto-renewal disclosure requirements including those under California and New York law.
7. Promotional Rate Lock and Fee Increase Protection The Promotional Fee is locked at the client's applicable Marketplace fee rate at enrollment and will not change during the Promotional Period. Clients enrolled in the Promotional Period are expressly excluded from any increase to the standard Business Plus fee during their active Promotional Period — any such increase will not take effect for promo clients until their individual Promotional Period expires.
If a standard Business Plus fee increase is announced during a client's Promotional Period, Upwork will deliver a 30-day advance notice to the affected client disclosing the new post-promo rate.
8. No Retroactive Adjustments The Promotional Fee applies prospectively from the date of enrollment. No retroactive fee adjustments will be made under any circumstances.
9. Re-Enrollment Clients who downgrade to Basic during the active Promotional Period are permanently ineligible to re-enroll in this promotion or any substantially similar promotional offer. Clients who complete the full Promotional Period and subsequently downgrade are not subject to this restriction and may be considered for future promotional offers at Upwork's discretion.
10. Campaign Window This promotion is available for a limited campaign period only. Upwork reserves the right to modify or discontinue this promotional offer at any time, provided that clients already enrolled in the Promotional Period will not be subject to a fee increase prior to the expiration of their individual six-month Promotional Period.
11. General This promotion is subject to Upwork's standard Terms of Service and Fee Schedule, except as expressly modified herein. In the event of any conflict between these promotional terms and the standard Terms of Service, these promotional terms govern for the duration of the Promotional Period. All fees are subject to applicable taxes.
