How Upwork handles confidentiality and NDAs

Need an NDA? You have options.

Sometimes, the nature of your project on Upwork might require an extra layer of confidentiality. That’s why we offer the option to include a non-disclosure agreement (NDA) as part of your job post. 

If you choose to use one, please note that any NDA is strictly between you and your freelancer — Upwork does not review, enforce, or become a party to these agreements.

Even if you don’t request a separate NDA, you’re still covered. Our Terms of Service include default confidentiality terms for both clients and freelancers. 

These terms help ensure that:

  • Both you and your freelancer agree to keep project-related information confidential

  • You grant the freelancer limited rights to use shared materials only as needed to complete the work

  • Once the project is complete — or at your request — the freelancer will return or destroy those materials

  • After full payment is made, all intellectual property created as part of the project is yours, unless otherwise agreed in advance (e.g., if background technology is involved)
